1. Welcome and Introduction
Welcome to Pixelart Solution Ltd("Pixelart," "we," "us," or "our"). These Terms of Service ("Terms") govern your relationship with us as a client, website visitor, or service user.
Our primary business location is in the United Kingdom, and we provide creative, development, and digital marketing solutions globally. By engaging our services, signing a Statement of Work (SOW), or browsing our website, you agree to be bound by these Terms.
2. Services Offered
Pixelart offers three core pillars of professional services:
- Web Build Sprints & Care Plans: Rapid, high-intensity development cycles focused on delivering high-performance websites, followed by recurring maintenance, security, and update care packages.
- Brand & Campaign Creative: Identity design, assets, copywriting, visual creative direction, and graphic materials.
- Meta Ads & Meta Business Manager Setup: Structural configuration, target audience planning, creative deployment, and analytical monitoring of paid campaigns within the Meta ecosystem.
3. Project Scope, Timelines, & Sprints
- Sprint Delivery Model: Our Web Build Sprints operate on fixed timelines with dedicated designer/developer resources. The specific goals, deliverables, and boundaries of your sprint are outlined in your individual Statement of Work (SOW).
- Timelines: All timelines provided are estimates made in good faith. While we strive to meet every milestone, dependencies on client feedback, asset delivery, or third-party platform API changes may impact actual delivery dates.
- Client Responsibilities: To maintain sprint momentum, you must supply requested assets, copy, logins, and approvals within the timeframe specified in our Client Communication Policy. Delays in your responses may result in the rescheduling of your sprint and additional administrative fees.
4. Fees, Billing, & Late Payments
- Pricing Structure: Services are billed as flat-rate sprint fees, fixed monthly Care Plan subscriptions, or campaign setup fees, as agreed upon in writing.
- Payment Schedule:
- Sprints: 50% deposit due prior to scheduling, 50% due immediately upon completion, before site launch or handover.
- Care Plans: Billed monthly in advance via automated direct debit or recurring invoice.
- Late Payments: Invoices not paid within seven (7) business days of the due date will accrue interest at a rate of 8% per annum above the Bank of England base rate, plus statutory recovery costs. We reserve the right to pause all active work, withhold deliverables, or temporarily suspend your Care Plan if your account has outstanding balances.
5. Revisions and Scope Changes
- Included Revisions: Each sprint or creative milestone includes up to two (2) rounds of refinements, provided they fall strictly within the scope defined in the SOW and are requested within three (3) business days of deliverable receipt.
- Scope Changes: Any request for features, pages, or creative iterations outside the original SOW will be treated as a Scope Change. We will provide a separate quote or request the purchase of an additional mini-sprint to cover the extra work.
6. Intellectual Property (IP) Ownership
- Transfer of Rights: Subject to full, final payment of all outstanding invoices, Pixelart transfers the intellectual property rights of the custom visual deliverables and custom code created specifically for you.
- Pixelart Background IP: We retain all rights to our pre-existing methodologies, proprietary tools, frameworks, and base code libraries used to build your projects.

7. Third-Party Software and Platforms
Our deliverables often rely on third-party platforms (e.g., Webflow, WordPress, Shopify, Meta Business Suite, active hosting providers).
- Licensing and Costs: You are solely responsible for paying any software license, subscription, domain, or hosting fees required to run your website or active ads.
- No Liability for Outages: Pixelart is not responsible for interruptions, policy changes, API deprecations, or performance issues caused by these external platforms.
8. AI-Assisted Workflows
At Pixelart, we champion modern efficiency. Our production motto is: "AI-augmented expertise, human-verified results."
- Operational Integration: We use advanced Artificial Intelligence tools to assist with tasks such as initial coding layouts, asset drafting, structured copywriting, and data parsing.
- Human Oversight: No deliverable is ever sent to you directly from an AI. Every line of code, visual asset, and copy deck undergoes strict review, refinement, and validation by our human specialists.
- Ultimate Accountability: Pixelart takes full professional responsibility for the final deliverables we present to you, ensuring they meet our rigorous commercial standards.
9. Confidentiality
Both parties agree to protect and keep confidential any proprietary information, trade secrets, business strategies, and client data shared during our engagement. This obligation survives the termination of our services.
10. Warranties and Disclaimers
- As-Is Delivery: Services and deliverables are provided on an "as-is" and "as-available" basis.
- No Guarantee of Commercial Outcome: While we build high-performing digital systems, we cannot guarantee specific financial returns, search engine rankings, or ad performance conversions.

11. Limitation of Liability
To the maximum extent permitted by law in England and Wales:
- Pixelart's total liability for any claim arising out of our agreement is strictly limited to the total amount paid by you to us for the specific service or sprint giving rise to the claim in the three (3) months preceding the event.
- In no event shall we be liable for loss of profits, data loss, business interruption, or consequential, indirect, or punitive damages.
12. Termination
- Sprints: Sprints can be terminated by either party with five (5) business days' written notice. Any completed hours or deliverables prepared up to the point of termination will be invoiced on a pro-rata basis.
- Care Plans: Care plans require thirty (30) days' written notice prior to the next billing cycle.

13. Governing Law
These Terms, and any disputes arising from them, are governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
